Terms of Use
These Website Terms of Use (“Terms”) govern access to and use of www.chefstoys.com and other websites, online storefronts, customer portals, mobile experiences, and digital services operated by Chefs’ Toys, LLC and its affiliates (collectively, “Chefs’ Toys,” “we,” “our,” or “us”) (collectively, the “Website”). The Website includes a transactional online marketplace through which users may browse products, create accounts, request quotes, place orders, select shipping or store pickup, purchase qualifying delivery or installation options, and access other features made available from time to time. By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.
Our Privacy Policy explains how we collect, use, disclose, and protect personal information and is incorporated by reference. Purchases and other commercial transactions are also subject to our Terms of Sale and any Order-specific terms displayed or accepted at checkout. Capitalized terms not defined in these Terms have the meanings assigned in the Terms of Sale.
1. Eligibility
You represent that you are at least 18 years old or the age of majority in your jurisdiction and have legal capacity to enter into these Terms. If you use the Website on behalf of an organization, you represent that you are authorized to bind that organization. Chefs’ Toys is open to the public, but many products are designed for professional or commercial foodservice use.
2. Changes to the Website or Terms
Chefs’ Toys may modify the Website or these Terms from time to time. Changes to these Terms become effective when posted unless otherwise stated and apply prospectively. Continued use of the Website after an update constitutes acceptance of the revised Terms. We may suspend, modify, or discontinue Website functionality where reasonably necessary for business, security, technical, legal, or compliance reasons.
3. Accounts & Customer Portals
Certain Website features may require registration. You agree to provide accurate information, maintain the confidentiality of credentials, promptly notify Chefs’ Toys of suspected unauthorized use, and remain responsible for activity occurring through your account to the extent permitted by law. If an authenticated business account or custom ordering portal is used to place an Order, Chefs’ Toys may treat the Order as authorized by the account holder unless we receive timely notice of unauthorized activity. We may suspend or restrict accounts presenting security, fraud, credit, or business concerns.
4. Acceptable Use
You may use the Website only for lawful purposes and in accordance with these Terms. You agree not to:
· Violate applicable law or use the Website for fraudulent, deceptive, or malicious purposes.
· Interfere with Website operation, security, availability, or another user’s access.
· Attempt unauthorized access to systems, accounts, data, or non-public functionality.
· Upload or transmit malicious code or harmful content.
· Scrape, crawl, harvest, copy, index, extract, train on, or otherwise collect Website content or data using robots, bots, artificial intelligence tools, automated means, or similar technologies without Chefs’ Toys’ prior written authorization.
· Use Website content to develop or train a commercial dataset, competing product catalog, pricing engine, artificial intelligence or machine-learning model, or other commercial product without authorization.
· Impersonate another person or organization, infringe third-party rights, or misuse interactive tools, forms, reviews, or customer portals.
5. User Content, Reviews & Feedback
If you submit reviews, ratings, photographs, questions, comments, feedback, product requests, project information, or other materials (“User Content”), you represent that you have the right to provide them and that they do not violate applicable law or third-party rights. You retain ownership of User Content but grant Chefs’ Toys and its service providers a non-exclusive, worldwide, royalty-free license to host, reproduce, display, adapt, distribute, and otherwise use User Content as reasonably necessary to operate and improve the Website, provide products or services, respond to requests, maintain records, promote products or services where lawful, and comply with legal obligations. Do not submit confidential information through public-facing review or comment features. We may moderate or remove User Content in our discretion, subject to applicable law.
6. Online Orders & Acceptance
Products displayed on the Website are invitations to submit an Order and are subject to availability, verification, and acceptance. Completing checkout or receiving an automated order acknowledgment does not necessarily mean an Order has been accepted. Chefs’ Toys may verify inventory, pricing, delivery eligibility, payment authorization, fraud indicators, customer information, and other transaction details before accepting or fulfilling an Order. We may decline, limit, or cancel an Order for legitimate business reasons, including pricing or availability errors, suspected fraud, unauthorized payment activity, product restrictions, credit concerns, or inability to fulfill the requested delivery method. If a paid Order is canceled by Chefs’ Toys, amounts collected for the canceled portion will be refunded or credited as appropriate.
7. Pricing, Product Information & Availability
Prices, promotions, availability, specifications, dimensions, photographs, manufacturer information, and other Website content may change without notice and may contain errors or omissions. Website content does not constitute a binding quotation, warranty, or contractual commitment except to the extent confirmed in an accepted Order. If an Order contains an obvious or material pricing, availability, quantity, tax, shipping, or product-information error, Chefs’ Toys may correct the error and give you the option to proceed on the corrected terms or cancel the affected portion of the Order.
8. Checkout & Order-Specific Terms
The price, quantity, product selections, shipping or pickup method, delivery address, taxes, shipping and handling charges, promotional discounts, final-sale or special-order designation, installation or set-in-place selections, and other transaction-specific terms presented at checkout or otherwise confirmed in the Order form part of the Order. If these Terms conflict with an executed agreement, an accepted Order, or the Terms of Sale, the executed agreement or Order-specific terms included in the accepted Order control first, followed by the Terms of Sale, and then these Terms solely with respect to Website use.
9. Payments
By submitting payment information, you represent that you are authorized to use the selected payment method and authorize Chefs’ Toys and its payment processors to charge the amounts disclosed in connection with the Order, including applicable taxes, shipping, handling, and other disclosed charges. We may use third-party payment processors and may require additional verification before processing or fulfilling an Order. Additional terms from a payment, financing, leasing, gift-card, or other third-party provider may apply where that option is selected.
10. Shipping, Delivery & Installation Options
Shipping and delivery options, charges, promotional thresholds, geographic eligibility, and estimated timing may vary by product, destination, order value, and delivery method. Some Goods may qualify for free or reduced shipping subject to the eligibility terms displayed on the Website or at checkout. Oversized, heavy, special-order, or otherwise excluded Goods may incur additional charges. Delivery may be performed by common carrier, Chefs’ Toys fleet, or another provider. Curbside, inside-entrance, set-in-place, installation, startup, haul-away, or other enhanced services are included only if expressly selected and accepted as part of the Order or separately purchased. Estimated delivery dates are not guarantees unless expressly stated in a written agreement.
11. Buy Online, Pick Up In Store
Where store pickup is available, product availability shown online is an estimate until Chefs’ Toys confirms the Order is ready for pickup. Do not travel to a store for pickup until you receive a ready-for-pickup notice. We may require government-issued identification, the Order number, the payment card or other verification, or reasonable evidence that the person collecting the Order is authorized to do so. Pickup Orders remain subject to the pickup deadlines and storage/disposition terms in the Terms of Sale or applicable pickup notice.
12. Cancellations, Returns, Clearance & Final Sale
Cancellation and return rights are governed by the Terms of Sale and any product-specific or checkout disclosures. Some Orders cannot be canceled once processing, procurement, fabrication, or supplier commitment begins. Clearance, final-sale, used, opened, custom, special-order, or other designated Goods may be non-returnable. Product-specific limitations disclosed before purchase are incorporated into the Order.
13. Promotions, Loyalty Programs & Discounts
Coupons, promotional offers, loyalty benefits, volume discounts, customer-specific pricing, contract pricing, and other programs may be subject to separate eligibility rules and terms. Unless expressly stated, offers may not be combined, may exclude certain products, brands, customers, or transactions, and may be modified or withdrawn prospectively. The terms displayed with a promotion or loyalty program control that program. Participation in a loyalty or rewards program may also be subject to separate privacy disclosures, including any applicable Notice of Financial Incentive.
14. Third-Party Products, Services & Links
The Website may link to or integrate third-party websites, services, financing providers, warranty providers, payment processors, shipping providers, manufacturers, social platforms, maps, or other tools. Chefs’ Toys does not control third-party services and is not responsible for their content, privacy practices, availability, or separate terms. Use of third-party services may be subject to additional terms directly between you and the third party.
15. Intellectual Property
The Website and its content, including text, graphics, photographs, software, logos, product descriptions, videos, layouts, data compilations, and designs, are owned by Chefs’ Toys or its licensors and protected by intellectual-property laws. Except as expressly permitted, you may not reproduce, modify, distribute, publicly display, create derivative works of, or commercially exploit Website content without prior written consent. Chefs’ Toys names, logos, and trademarks may not be used without permission.
16. Copyright Complaints
Chefs’ Toys responds to notices of claimed copyright infringement consistent with the Digital Millennium Copyright Act (“DMCA”). A written notice should include:
· A physical or electronic signature of a person authorized to act for the owner of the allegedly infringed right.
· Identification of the copyrighted work claimed to have been infringed or, for multiple works, a representative list.
· Identification of the material claimed to be infringing and information reasonably sufficient to locate it.
· Contact information reasonably sufficient to permit Chefs’ Toys to contact the complaining party.
· A statement of good-faith belief that the disputed use is not authorized by the owner, its agent, or the law.
· A statement that the notice is accurate and, under penalty of perjury, that the complaining party is authorized to act for the owner.
Copyright notices should be sent to: Chefs’ Toys, LLC, Attn: Copyright Agent, 18430 Pacific Street, Fountain Valley, California 92708; trademarks@chefstoys.com; (714) 435-9222. Only copyright notices should be sent to this contact. Chefs’ Toys may remove or disable access to allegedly infringing content and may terminate repeat infringers where appropriate.
17. Artificial Intelligence & Digital Tools
Certain Website features may use automated search, recommendations, chat, artificial intelligence, or similar technologies. Outputs are provided for general informational purposes only and should not be relied upon as legal, engineering, architectural, design, code-compliance, safety, tax, financial, or other professional advice. Product recommendations or automated outputs do not replace Customer’s responsibility to confirm suitability, specifications, utilities, site conditions, and legal requirements.
18. Disclaimer of Warranties
THE WEBSITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHEFS’ TOYS DISCLAIMS ALL WARRANTIES RELATING TO THE WEBSITE, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AND AVAILABILITY. CHEFS’ TOYS DOES NOT WARRANT THAT THE WEBSITE WILL OPERATE WITHOUT INTERRUPTION, ERROR, OR SECURITY INCIDENTS. WARRANTIES RELATING TO GOODS OR SERVICES PURCHASED THROUGH THE WEBSITE ARE GOVERNED BY THE TERMS OF SALE AND APPLICABLE ORDER.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHEFS’ TOYS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO WEBSITE USE. CHEFS’ TOYS’ TOTAL LIABILITY ARISING FROM OR RELATED SOLELY TO THE WEBSITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). Claims relating to purchased Goods or Services are governed by the applicable Order and Terms of Sale. Nothing in these Terms limits liability where such limitation is prohibited by applicable law.
20. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Chefs’ Toys and its affiliates, officers, directors, employees, agents, licensors, and service providers from third-party claims, damages, liabilities, costs, and expenses arising from your violation of these Terms, misuse of the Website, unlawful or infringing User Content, violation of applicable law or third-party rights, or fraud or willful misconduct.
21. Governing Law & Dispute Resolution
These Terms are governed by Delaware law, except that mandatory consumer-protection laws apply to the extent required. Except for an individual claim eligible for small claims court, disputes relating solely to these Terms or Website use will be resolved through confidential, binding arbitration administered by the American Arbitration Association (“AAA”) before a single arbitrator. Consumer disputes will proceed under the AAA Consumer Arbitration Rules and Consumer Due Process Protocol, with fees, costs, and hearing location governed by those rules and applicable law; all other disputes will proceed under the AAA Commercial Arbitration Rules in Boston, Massachusetts. Proceedings will be conducted on an individual basis only, and class, collective, and representative proceedings and jury trials are waived to the fullest extent permitted by law. Either party may seek temporary injunctive relief from a court of competent jurisdiction. Disputes concerning a commercial transaction may instead be governed by the applicable Order or Terms of Sale.
22. Limitation Period
To the extent permitted by law, any claim relating solely to these Terms or Website use must be commenced within one (1) year after the claim arises. This Section does not shorten a limitation period that cannot lawfully be shortened.
23. Electronic Communications
By using the Website, you consent to receive transaction and Website-related communications electronically where permitted by law. Electronic records and signatures may be used and will have the same legal effect as written documents and handwritten signatures to the extent permitted by applicable law. Marketing communications are subject to applicable consent and opt-out requirements.
24. General
If any provision of these Terms is invalid or unenforceable, the remaining provisions remain effective. These Terms constitute the agreement governing Website use unless superseded by a separate written agreement. Chefs’ Toys may assign these Terms to an affiliate, successor, or acquirer. You may not assign your rights or obligations without prior written consent. Failure to enforce a provision is not a waiver. Questions regarding these Terms may be directed to Chefs’ Toys Customer Support at customersupport@chefstoys.com or (714) 665-2433.
